The Process of Procuring Funding

 

The process of obtaining funding for your project will be as follows:

 

  1. Project Review-We will review the material provided by the client and determine which of our investor base will have an interest in funding your project. I.e. Real Estate, Energy, Business Expansion, etc… This review process is important because it leads us to choose the best investor options available for your project.
  2. “Pre-Marketing”-As the term suggests, this process is the result of narrowing down the investor base to about a half dozen investors for initial review of the project. These investors will be contacted by phone and we will share your information with them. They will want to see your Executive Summary, Business Plan, Proforma Projections, etc... The more relative information you can provide, the easier the decision making process goes. Remember, it's very easy to say NO to something that you don't understand. It's also just as easy to say YES to something you comprehend very well. Let's be thorough enough to give every reason for an investor to say YES!
  3. Pre-Marketing Results/Feedback-Once the investors have reviewed the project and we have discussed its potential they will provide feedback and/or a Term Sheet offer to fund the project. Or…they may reject the project altogether and have no interest. This is the reason we start out with half a dozen investors, some will have no interest, and some will have great interest. The marketplace today is very flux, therefore, what is in favor today will be out of favor tomorrow. The key to a successful placement, is understanding what our investor base is looking to invest in today and what they will be looking to invest in tomorrow. It is for this reason, we are in constant contact with our investor base at all times.
  4. Term Sheet Issued-At this juncture, we have investors willing to proceed further toward the funding of your project. We will, at this point, issue a Term Sheet. The Term Sheet will outline the details of what the investor is willing to offer and what their investment will look like in detail. This may take on the form of a debt and equity investment in your company or just debt or just equity.
  5. Issuance of “Engagement Agreement”-If the Term Sheet is accepted, our company and your company will engage in an “Engagement Agreement” whereby you agree to retain us (non-exclusively) to become an Intermediary and Consultant to assist in the funding of your project.
  6. Consummating the Engagement Agreement-There are two steps required to consummate the agreement. (1) Signatures are required to complete the agreement. (2) The agreement contains a “Turnkey Fee”. The fee typically ranges from $5,000.00 to $20,000.00 depending upon the size of the requested funding. The “Turnkey Fee” is just as it suggests, we are providing a turnkey service to provide funding for your project. Putting together an Investor Summary Package, meeting with investors, etc… is quite a bit of work. Therefore we charge a Turnkey Fee. If/when the investor(s) fund your project, the Turnkey Fee will be deducted from our commission and credited back to your company at closing/funding.
  7. The March Toward Funding-At this juncture, the process continues to move along toward funding. The investor will continue his/her due diligence and underwriting to come to the point of funding. The entire process can take anywhere from five days to 120 days to complete. For example, a hard money Bridge Loan may only take five days to complete, whereas a Private Equity investment may take as long as 120 days. Average is about 45 days.
